Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the Pracendi website and services at pracendi.com (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Who may use the Services
You must be able to form a legally binding contract in your jurisdiction. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
2. The Services
Pracendi provides tools to generate printable and/or interactive learning materials (for example, tracing worksheets). Features may change over time as we improve the product. We may add, modify, or remove functionality.
3. Accounts
Some features may not require an account. If we offer accounts, you are responsible for safeguarding your credentials and for activity under your account, except where caused by our breach of security obligations.
4. User content and inputs
You may input text or settings to generate materials (“Inputs”). You are responsible for your Inputs and for ensuring you have the rights to use them (for example, a student’s name where required by school policy or consent).
You grant Pracendi a non-exclusive, worldwide license to host, process, transmit, display, and create derivative outputs (such as generated worksheets) solely to operate and improve the Services for you. This license ends when you delete content or close your account where applicable, subject to reasonable retention for backups, security, and legal compliance.
5. Acceptable use
You agree not to:
- Violate law or infringe others’ rights;
- Attempt to probe, scan, or test vulnerabilities, or breach security or authentication measures;
- Interfere with the Services or impose an unreasonable load on our infrastructure;
- Use automated means to access the Services in a way that violates our policies or robots instructions;
- Reverse engineer the Services except where permitted by law;
- Use the Services to generate unlawful, harassing, hateful, or harmful content.
6. Intellectual property
The Services, including software, design, text, graphics, logos, and branding, are owned by Pracendi or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for personal or internal educational use.
Outputs you generate may be used for your teaching and learning purposes in accordance with these Terms. Unless otherwise stated, we do not claim ownership of your Inputs.
7. Advertising
The Services may display third-party advertisements. Advertisers may collect information as described in our Privacy Policy. Your interactions with ads are primarily governed by the advertiser’s policies.
8. Paid features, billing, and Creem (or other payment processors)
We may offer paid subscriptions or one-time purchases. Prices, taxes, and billing cycles will be presented at checkout. Payments may be processed by a third-party payment processor (for example, Creem or another provider we designate).
By purchasing, you authorize us and our payment processor to charge your selected payment method. You agree to the payment processor’s terms and privacy policy in addition to these Terms.
Subscriptions. If you purchase a subscription, it may renew automatically until you cancel. You can cancel as described in the checkout flow or your account settings (if available). Cancellation stops future charges; it does not necessarily refund the current billing period unless required by law or stated at purchase.
Refunds. Unless otherwise required by law or explicitly stated at purchase, fees are non-refundable. If you believe a charge is in error, contact contact@pracendi.com promptly.
Taxes. You are responsible for any taxes associated with your purchase other than taxes based on Pracendi’s net income.
9. Third-party services
The Services may link to or integrate third-party services (including hosting, analytics, advertising, and payments). Your use of third-party services is governed by their terms.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRACENDI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
Educational outputs are tools—not professional advice. You are responsible for how you use materials in your classroom or home.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRACENDI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PRACENDI FOR THE SERVICES IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) TWENTY FIVE US DOLLARS (USD $25), IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATION.
12. Indemnity
You will indemnify and hold harmless Pracendi and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your Inputs, your use of the Services, or your violation of these Terms, except to the extent caused by our willful misconduct.
13. Termination
We may suspend or terminate access to the Services if you violate these Terms or if we need to protect security or comply with law. You may stop using the Services at any time.
14. Governing law and venue
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Subject to applicable law, you and Pracendi consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, USA, for disputes arising out of or relating to these Terms or the Services.
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability will be limited to the maximum extent permitted.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice as required by law (for example, by posting on the Site or emailing you where appropriate). Your continued use after the effective date constitutes acceptance of the updated Terms.
16. Miscellaneous
These Terms constitute the entire agreement between you and Pracendi regarding the Services and supersede prior agreements on the same subject. If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver.
